1. Acceptance of Terms
By accessing or using Sematic Tech LLC services, including its website and any related applications ("Sematic Tech"), you ("User") agree to be bound by these Terms of Use and our Privacy Policy. You must be at least the age of majority in your jurisdiction and have the legal capacity to enter into this agreement. If you do not agree, you may not use Sematic Tech.
2. Intellectual Property Rights
All content, information, and materials ("Content") available on Sematic Tech are protected by intellectual property law and owned by Sematic Tech or its licensors. Users may use Content solely for internal business purposes and personal informational use, subject to these Terms. No reproduction, distribution, modification, public display, resale, or use is permitted without written consent.
3. Registration and Security
Sematic Tech may require registration and login credentials. Users must provide accurate, complete information and maintain confidentiality of credentials. Users are responsible for all activity under their account and must notify Sematic Tech immediately of any unauthorized use.
4. Administration and Termination
Sematic Tech may modify, suspend, or terminate your access (whole or in part) at any time at its sole discretion and without liability, subject to applicable law. Upon termination, rights under these Terms cease immediately, and access to data or content may be lost.
5. User Obligations
Users agree to comply with all applicable laws and not use Sematic Tech for any unlawful, infringing, misleading, defamatory, or harmful purpose. Cooperation with investigations into breaches or security incidents is required.
6. Third-Party Content
Sematic Tech may contain links or information from third-party sources. Sematic Tech is not responsible for such content, and inclusion does not imply endorsement.
7. Use Limitations and AI Output
Sematic Tech uses AI-powered systems. Any output generated is for informational purposes only and may contain errors. Users are responsible for independently verifying the accuracy and suitability of the output. Sematic Tech retains software IP, while Users retain rights to output derived from their inputs.
8. Warranty Disclaimer & Limitation of Liability
Sematic Tech is provided “as is” and “as available.” No warranties, express or implied, are provided. Liability for damages, direct or indirect, is expressly excluded to the fullest extent permitted by law. If any exclusion is not enforceable, liability will be limited as specified herein.
9. Indemnification
Users agree to indemnify and hold Sematic Tech, its officers, employees, and partners harmless against any claims, damages, liability, and expenses arising out of User’s conduct, breach of these Terms, or content submissions.
10. User Content and Rights
Users represent and warrant they have rights to any content submitted. Users are responsible for their submissions. Sematic Tech is not liable for such content and reserves the right to remove or restrict any content at its discretion.
11. Export Controls
Users must comply with all applicable export and re-export control laws. Users represent they are not located in any restricted/trade-sanctioned territories or on any prohibited persons list.
12. Data for AI Model Improvement
Sematic Tech may use interaction data (with personal details masked or anonymized) to improve system performance unless otherwise specified by User.
13. Dispute Resolution
This agreement is governed by the laws of the State of Kansas, USA. Disputes will be resolved exclusively by confidential binding arbitration in Topeka, Kansas.
14. Modifications
Sematic Tech reserves the right to modify these Terms at any time, effective immediately upon posting. Continued use after modifications constitutes acceptance.
15. Privacy Policy
Our Privacy Policy is an integral part of these Terms.
16. Billing, Cancellation, and Termination
Subscription, billing, trial, and cancellation policies are set forth at purchase/registration. No refunds except as required by law. Sematic Tech may terminate access for non-payment, breach, or misuse.
17. Force Majeure
Sematic Tech is not liable for failure to perform caused by circumstances beyond its control, such as natural disasters or network failures.
18. Miscellaneous
No assignment by User without written consent; Sematic Tech may assign its rights at any time. These Terms constitute the entire agreement and supersede prior versions. If any provision is found invalid, others remain in effect.
